    Terms of Service

    1. Introduction and Acceptance

    Welcome to The Concept Store ("Platform," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and The Concept Store governing your access to and use of our platform, including all content, functionality, and services offered.

    By accessing or using The Concept Store, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

    Sarah, a tech entrepreneur, creates an account to showcase her AI-powered logistics platform. By completing registration, Sarah agrees to comply with all Terms, including accurate representation of her concept, intellectual property respect, and adherence to securities regulations when seeking investment.

    2. Eligibility and Account Registration

    2.1 Age and Capacity Requirements

    You must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

    2.2 Investor Accreditation

    Certain investment opportunities on the Platform are restricted to accredited investors as defined by applicable securities laws. By registering as an investor, you represent that you meet the accreditation requirements of your jurisdiction, which may include:

    • Individual net worth exceeding $1 million (excluding primary residence)
    • Annual income exceeding $200,000 ($300,000 joint) for the past two years
    • Holding certain professional certifications (Series 7, 65, or 82 licenses)
    • Entity assets exceeding $5 million

    2.3 Account Security

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access or security breach. We implement multi-factor authentication and encryption to protect your account, but you must also take reasonable precautions.

    Marcus, a venture capital partner, uses his firm's email to create an investor account. When he leaves the firm, he must transfer account ownership or close it, as the account cannot be shared among multiple individuals.     3. User Roles and Responsibilities

    3.1 Concept Owners

    As a Concept Owner, you agree to:

    • Provide accurate, complete, and truthful information about your concept, including financial projections, technical capabilities, market analysis, and team credentials
    • Maintain and update concept information promptly to reflect material changes in business status, funding, or operations
    • Respond to investor inquiries in a timely and professional manner within 5 business days of receipt
    • Comply with all applicable securities laws and regulations when offering equity or debt instruments
    • Respect intellectual property rights and ensure you have necessary rights to all submitted content
    • Disclose all material risks, conflicts of interest, and legal proceedings that could affect investment decisions

    3.2 Investors

    As an Investor, you agree to:

    • Conduct your own due diligence and investment analysis before committing capital to any concept
    • Maintain confidentiality of non-public information shared by concept owners
    • Engage professionally and respectfully with concept owners and other platform users
    • Comply with all applicable investment regulations and tax obligations
    • Acknowledge that investments carry risk and that past performance does not guarantee future results
    • Not manipulate markets, engage in insider trading, or violate securities regulations

    Jennifer, a concept owner for a fintech startup, updates her concept page monthly with metrics including user growth (now 50,000 active users), monthly recurring revenue ($120K), and burn rate ($45K/month). When her co-founder departs, she immediately updates the team section and notifies interested investors. This transparency builds trust and complies with her obligation to maintain accurate information.

    4. Intellectual Property Rights

    4.1 Platform Content

    The Platform and its original content, features, functionality, design elements, trademarks, and logos are owned by The Concept Store and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any Platform content without our express written permission.

    4.2 User-Generated Content

    You retain all ownership rights to content you submit to the Platform ("User Content"), including concept descriptions, business plans, financial data, images, videos, and other materials. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Platform.

    4.3 Confidentiality Obligations

    Information marked as "confidential" or shared in private messaging between users remains subject to confidentiality obligations. Investors who access confidential concept information agree not to disclose such information to third parties or use it for purposes other than evaluating investment opportunities.

    DevTech Solutions uploads their proprietary algorithm documentation to share with interested investors. While DevTech retains ownership of their intellectual property, they grant The Concept Store permission to display this content on the platform. Investors viewing this confidential documentation are bound by confidentiality obligations and cannot share the algorithm details with competitors or use them to develop competing products.

    5. Investment Transactions and Disclaimers

    5.1 Platform Role

    The Concept Store is a marketplace platform that facilitates connections between concept owners and investors. We do not:

    • Provide investment advice, recommendations, or endorsements
    • Guarantee the accuracy, completeness, or reliability of concept information
    • Conduct due diligence on behalf of investors
    • Serve as a broker-dealer, investment adviser, or financial institution
    • Process, hold, or transfer investment funds

    5.2 Investment Risks

    Investing in early-stage concepts carries significant risk, including:

    • Total loss of invested capital
    • Illiquidity and difficulty selling investments
    • Dilution of ownership through future funding rounds
    • Regulatory changes affecting business viability
    • Market competition and technological obsolescence
    • Management execution risks

    5.3 No Guarantees

    We make no warranties regarding the success, profitability, or viability of any concept listed on the Platform. Past performance of concepts or concept owners is not indicative of future results. You acknowledge that you invest at your own risk and should only invest amounts you can afford to lose.

    6. Prohibited Activities

    You agree not to:

    • Submit false, misleading, or fraudulent information
    • Engage in market manipulation, pump-and-dump schemes, or securities fraud
    • Scrape, harvest, or collect user data without permission using automated tools or manual methods
    • Reverse engineer, decompile, or attempt to extract Platform source code
    • Upload viruses, malware, or other malicious code
    • Harass, threaten, or abuse other users
    • Impersonate any person or entity, or falsely represent affiliations
    • Use the Platform for money laundering, terrorist financing, or other illegal activities
    • Circumvent security features, access controls, or rate limiting mechanisms
    • Sublicense, sell, or transfer your account to others

    7. Platform Fees and Payments

    7.1 Fee Structure

    The Concept Store operates on a subscription and success-based fee model:

    • Concept Owners: Free basic listing; Premium tier ($99/month) with enhanced visibility, analytics, and unlimited investor messaging; Success fee of 2% on successfully closed investments
    • Investors: Free account creation and browsing; No transaction fees for investments made through the platform

    7.2 Payment Terms

    All fees are payable in advance unless otherwise specified. Success fees are due within 30 days of investment closing and are calculated based on gross investment amount. We reserve the right to modify our fee structure with 30 days' notice to existing users.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CONCEPT STORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

    • Your access to or use of (or inability to access or use) the Platform
    • Investment losses or missed opportunities
    • Unauthorized access to or alteration of your content or data
    • Statements or conduct of third parties on the Platform
    • Technical malfunctions, errors, or service interruptions

    IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless The Concept Store, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

    • Your violation of these Terms or applicable laws
    • Your User Content or concept information
    • Your investment activities or relationships with other users
    • Any intellectual property infringement claims
    • Your negligence or willful misconduct

    10. Dispute Resolution and Governing Law

    10.1 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

    10.2 Arbitration Agreement

    You may terminate your account at any time by contacting support. Upon termination, your access to the Platform will be disabled, though certain obligations (confidentiality, indemnification, limitation of liability) survive termination.

    11.2 Termination by Us

    We reserve the right to suspend or terminate your account immediately, without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Platform or other users. We may also terminate inactive accounts after 12 months of inactivity with 30 days' notice.

    12. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify you of material changes by email or prominent notice on the Platform at least 30 days before the effective date. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use and may terminate your account.
